LAST Friday ORDER, Pfizer Inc (NYSE: PFE) today announced that it has entered into an agreement with the United States Food and Drug Administration (FDA) to sell, under the brand name Viagra® to an international group of pharmaceutical companies, including Eli Lilly and Company Inc. (“Lilly”).

The Viagra® deal was announced in November 2009 by Lilly and the United States Food and Drug Administration (“FDA”). Pfizer has a patent on Viagra® that covers the active ingredient for marketing the drug and includes a mechanism of action that allows for the medication to be delivered to the site of action only after patients have taken the medication. The patent is expected to expire in 2012.
Under the agreement, the generic company will sell a generic version of Viagra® to U. consumers, and the FDA will sell Pfizer to treat its approved indications for Viagra®.
In addition, the agreement provides for additional milestone payments and royalties on sales of the Viagra® product through the end of 2012. The agreement also ensures that Lilly will continue to receive worldwide marketing royalties until the expiration of the Pfizer Company patent. The Viagra® deal also eliminates the possibility of a trademark infringement action by the Pfizer Company and allows Pfizer to receive royalty payments from the Pfizer Company and other pharmaceutical companies.

As part of the agreement, Pfizer will receive royalties on sales of Viagra® for the first three years after the Pfizer Company acquires its Viagra® product rights, which is subject to certain conditions. These conditions include being listed on the Pfizer Company’s official website; obtaining a valid license to the Pfizer Company’s product rights from the German company; and completing and submitting the Pfizer Company’s official website for regulatory approval. The new agreement is contingent on the successful completion of the Pfizer Company’s acquisition transaction with the German pharmaceutical company.
Pfizer will also receive a royalty payment for Viagra® from the United States government and from the United Kingdom government, with an additional royalty payment depending on the product. The Pfizer Company is expected to receive a payment of approximately $6.1 billion to pay off the litigation litigation relating to the patent infringement claims for Viagra® and related products.
Pfizer will maintain its rights to the Viagra® product rights on its website in its official Web site, and the United States government is required by law to approve Viagra® products. The United Kingdom government is required to approve the sale of Viagra® products.
